This document governs the rights and obligations of members who own a membership entitling them to use a particular slip and share common areas.
- Membership & boat slip ownership: Membership is personal property, not real estate. Each membership grants exclusive use of a specific boat slip. There are two classes: Charter (initially held by Declarant, freely transferable) and Class A (all others). Charter memberships convert to Class A upon sale.
- Leasing & rentals: Class A members may not rent or lease their boat slip without prior Association approval, which cannot be unreasonably withheld. Charter memberships may be leased by Declarant without restriction.
- Transfer & right of first refusal: Class A members must first offer their membership to the Association at the same price and terms as a bona fide offer. The Association has 30 days to exercise its option. Intra-family transfers (spouse, child, sibling, parent) are allowed with Association approval, which shall not be unreasonably withheld.
- Assessments & fees: Regular and special assessments are levied on memberships. Charter memberships for transient slips are exempt until sold; other Charter memberships are exempt from regular assessments for five years from the Declaration date. Special assessments over $1,000 per membership require majority vote. Late payments accrue 12% interest and become a lien.
- Common area & marina use: Members have non-exclusive rights to common areas, including the clubhouse, docks, and boatyard. The Association may adopt rules, limit guests, and suspend rights for unpaid assessments or rule violations (up to 60 days). The boatyard may be used for vessel maintenance and repair.
- Architectural control: No structures or alterations on common area or property may be made without prior written approval of the Board or an architectural committee. Plans must show nature, location, height, materials, and construction details.
- Insurance: The Association carries property and liability insurance on common areas. Each member must carry liability insurance on their boat or vessel docked at the marina and provide proof to the Association.
- Violations & penalties: The Board may impose a special assessment of up to $500 per occurrence for rule violations. Members are also liable for damage to common area caused by their fault, with a hearing required before assessment.
