This document creates a recreational facility association for boat slip owners and lot owners in the Saponas Point and Captains Walk communities in Wilmington, NC. It governs membership, assessments, and use of the waterfront common areas, including docks and boat slips. The rules bind members (boat slip owners and lot owners) and the association.
- Membership & voting: There are three membership classes: Charter Member (developer), Class A (lot owners who own a boat slip, 2 votes each), and Class B (lot owners without a boat slip, 1 vote each). The Charter Member has 3 votes per boat slip or lot owned. Boat slips are permanently assigned to a specific lot and cannot be transferred separately.
- Assessments & fees: Members pay annual, special, insurance, ad valorem tax, working capital ($150 per membership at issuance), and limited common area repair assessments. Unpaid assessments become a lien on the membership and/or lot, with interest and attorney's fees. The Charter Member is exempt from assessments.
- Use restrictions: Boats must be maintained, insured, and not used as residences. No commercial use, no renting of boat slips. Speed limit is dead slow/wakeless for boats and 8 mph for vehicles. No overnight parking, no RVs or trailers. Children under 12 must be accompanied on docks. No cooking on docks. No signs except by developer. Violations may result in loss of facility use.
- Pets: Animals must be leashed at all times, not tied to dock structures, and kept on board. Owners must clean up waste.
- Alterations & improvements: No alterations to common areas. Members may install a finger extension and hydraulic lift at their boat slip at their own expense, with association approval. One dock box per slip is allowed, design approved by association.
- Insurance: Boat slip owners must maintain replacement cost insurance on their boats and provide proof to the association.
- Developer rights: The developer retains broad rights to control the association, amend the declaration, annex additional property, and change the layout of boat slips until all charter memberships are surrendered.
