Irongate Office Park is a mixed-use commercial development in Wilmington, NC, governed by a Declaration of Covenants, Conditions, and Restrictions (CC&Rs) recorded in 2000. The document applies to lot owners (those owning a freehold estate in a lot) and their lessees, tenants, and occupants. It establishes a developer-controlled architectural review committee, maintenance obligations, and assessment liens, but does not create a homeowners association or set residential use rules.
- Architectural & use review: No lot may be used or improved without prior written approval from a developer-appointed committee. The review requires extensive submissions including financial statements, site plans, landscaping plans, building plans, and sign plans. The committee may disapprove for any reason, including aesthetic or financial reasons, in its sole discretion.
- Maintenance obligations: Each owner must keep their lot and the adjacent street right-of-way in well-maintained condition, including daily litter removal, landscaping upkeep, exterior lighting and mechanical repairs, repainting, and compliance with health/safety requirements.
- Assessments & liens: The developer may levy annual and special assessments on lots, calculated per square foot, to fund common area maintenance, enforcement, taxes, insurance, and other purposes. Unpaid assessments become a lien on the lot and a personal obligation of the owner, with interest and attorney's fees. The assessment lien is subordinate to first mortgages.
- Common areas: Common areas are designated on recorded maps. Owners, lessees, and their guests have a perpetual easement to use them, subject to rules published by the developer. The developer may install utilities in common areas; owners need committee consent to do so.
- Subdividing & replatting: Lots may not be subdivided or boundary lines changed without the developer's written consent. The developer retains the right to replat lots it owns, including modifying or eliminating lots, without owner approval.
- Leasing & delegation: An owner may lease or delegate rights/obligations to a lessee by written notice to the developer, but the owner remains fully responsible for all obligations under the declaration.
- Amendment & duration: The declaration runs for 10 years from 2000, with automatic 10-year extensions unless owners of 3/4 of lot area vote to change it. Amendments require a recorded instrument signed by owners of at least 3/4 of lot area, except the developer may unilaterally amend for lots it still owns.
