It governs five outparcels (lots) intended for commercial use, binding the owners of those lots. The document establishes shared easements, maintenance obligations, and use restrictions among the lot owners.
- Permitted uses: All outparcels must be used only as permitted by the City of Leland's zoning and land use ordinances, and not prohibited by other recorded agreements (Leland Town Center REA or Aldi REA). Certain prohibited uses are listed on Exhibit C (not included in this excerpt).
- Building restrictions: Buildings may only be constructed within designated Building Areas shown on the Site Plan. Maximum building floor areas are assigned per outparcel. No building may exceed 30 feet in height above grade.
- Architectural review: No improvements or alterations may be made without prior written approval from Declarant, based on compliance with the Site Plan, Landscape Plan, and Utility Plan. Plans must be submitted at least 30 days before construction; if Declarant fails to respond within 30 days, approval is presumed.
- Maintenance responsibilities: Each owner is responsible for maintaining their outparcel's exterior areas, including landscaping, parking lots, access drives, utilities, and lighting. Owners must keep their property clean, free of graffiti, and in good repair.
- Easements: Each owner grants non-exclusive easements to other owners for access over access drives, utility installation and maintenance, and drainage. These easements run with the land and benefit all outparcels.
- Insurance requirements: Each owner must maintain 'all risk' property insurance at 100% replacement cost on their improvements, and commercial general liability insurance with a minimum $2,000,000 per occurrence limit. Owners waive subrogation against each other for covered losses.
- Declaration assessments & liens: Owners must pay Declaration Assessments for costs incurred due to breaches or shared improvements. If unpaid after 10 days' notice, Declarant may record a lien and foreclose. The lien is subordinate to prior recorded mortgages.
- Hazardous materials: Owners and occupants may not release, generate, or dispose of hazardous materials except in compliance with all laws. Each owner is responsible for cleanup and indemnifies other owners for contamination caused by their activities.
