What 211 Midway Commons's governing documents say
This is a commercial declaration of easements, covenants, conditions, and restrictions for a retail shopping center called 211 Midway Commons in Brunswick County, NC. It governs the relationship between the shopping center tract and outparcels (separately owned parcels), primarily binding commercial property owners and tenants. It is not a residential HOA or condominium document.
- Property type & ownership: The property consists of a shopping center tract and up to nine outparcels, each owned separately. Owners are fee simple owners of their parcels. The declaration creates cross-easements for access, utilities, drainage, and signage.
- Use restrictions: Buildings on outparcels are limited to one story (max 25 feet, with up to 30 feet for architectural features) and one building per outparcel, typically occupied by one business. Restaurants must keep alcohol sales under 50% of gross sales, install grease traps, and minimize cooking odors. No exterior amplification or loudspeakers audible beyond the parcel.
- Architectural review: All buildings, signage, landscaping, lighting, and drainage improvements require Declarant's prior written approval of detailed plans. Declarant may disapprove for any reason, including aesthetics. Changes after construction also require approval.
- Signage: All signage must be approved by Declarant. No flashing, moving, rotating, or audible signs. No painted signs, exposed raceways, or temporary signs (except small door decals). Shopping center signs are maintained by Declarant; individual tenant panels are maintained by the tenant.
- Parking: Each parcel must provide at least 5 parking spaces per 1,000 sq ft of floor area. No cross-parking between the shopping center tract and outparcels unless separately agreed. No parking decks or structured parking allowed.
- Maintenance & assessments: Declarant maintains common areas (parking, landscaping, drainage, etc.) and recovers costs through Common Area Maintenance Costs. Outparcel owners pay an annual drainage fee of $450 per acre, increasing 20% every five years. Owners maintain their own utility lines and facilities.
- What this document doesn't cover: This document does not address residential use, leasing terms for tenants, pet rules, age restrictions, or any residential HOA-type rules. It is a commercial shopping center declaration.
