This is a declaration of covenants, conditions, and restrictions for Wrightsville Beach Storage, Inc., a storage facility in Wilmington, NC. It governs memberships that entitle holders to exclusive use of a storage slip or space, plus shared common areas. The rules bind members (owners of memberships) and their lessees.
- Membership types & rights: Three classes: Charter (108 initial memberships, freely transferable by the developer), Class A (exclusive use of one storage slip plus common area rights), and Class B (one membership for the management office, with easement rights but no storage slip). Each membership has one vote.
- Leasing & rentals: No member may lease or license their membership rights without prior Board approval. All leases must be approved by the Board. During a lease, the lessee has full use rights; the member-lessor retains only the right to vote.
- Transfer & right of first refusal: Except for Charter memberships, any sale or transfer requires Board approval. The member must first offer the membership to the Corporation at the same price and terms as a bona fide offer; the Corporation has 30 days to exercise its option. Purchasers must provide proof of insurance for stored items.
- Assessments & fees: Annual and special assessments are levied by the Board. Special assessments over $400 per member per year require approval of two-thirds of voting members. Violation assessments up to $500 per occurrence may be imposed. Assessments are a lien on the membership and a personal obligation of the owner.
- Use restrictions: No obnoxious or offensive activity; no nuisance. The Board may adopt and enforce reasonable rules and regulations. No more than two dock boxes per storage slip, subject to Board approval of size, design, and location.
- Architectural control: No building, fence, wall, sign, or other structure may be erected or altered on common property without prior written approval of the Board or an architectural committee. This includes dock boxes.
- Maintenance: The Corporation maintains all property including storage spaces, driveways, and roads. Maintenance costs are included in annual assessments.
