This is a commercial easement, covenant, and restriction agreement between two landowners (Halpern Ocean Isle, LLC and DWE Timber, LLC) governing a shopping center, outparcels, and a commercial parcel in Ocean Isle Beach, NC. It is not a residential HOA or condo document; it applies to commercial property owners and tenants, not homeowners or renters.
- What this document covers: The agreement establishes shared easements (access, drainage, sewer, water, utilities, signs), maintenance obligations, and use restrictions among commercial parcels, including a Publix grocery store. It does not govern residential living.
- Permitted uses & restrictions: Parcels must be used lawfully. Prohibited uses include nude dancing, adult bookstores, head shops, sexually explicit businesses, massage parlors, tattoo parlors, body piercing facilities, and abortion clinics. Additional restrictions from the Publix lease apply as long as Publix has an interest.
- Maintenance & cost sharing: Each owner maintains their own buildings and common areas. The shopping center owner maintains Market Place Boulevard, storm water facilities, sanitary sewer facilities, water lines, and the Beach Drive sign. Other developed parcels reimburse a pro-rata share based on acreage. Outparcels pay an annual $3,000 reimbursement fee (increasing 15% every 5 years starting 2023).
- Easements & access: Perpetual non-exclusive easements for vehicular and pedestrian access over Market Place Boulevard and Causeway Drive Driveway benefit all parcels. Utility easements for drainage, sewer, water, and other utilities are granted. No parking rights or easements are created.
- Enforcement & remedies: Owners and tenants (leasing 10,000+ sq ft) can enforce the agreement. Breach allows self-help after 30 days' notice, with reimbursement plus interest (prime rate + 2%). Unpaid amounts can become a lien on the defaulting owner's parcel.
- What this document doesn't cover: This document does not create a homeowners association, set rules for residential living, regulate pets, leasing terms for homes, or architectural review for residences. It is a commercial property agreement only.
