Heritage Harbour Community Association, Inc. is a standard single-family HOA in Annapolis, MD, governed by these By-Laws. This document defines the association's structure, board elections, meetings, and financial management. It applies to all lot and condominium unit owners within the community, as well as certain recreational and associate members.
- Membership & voting: There are four membership classes: Class A (lot owners, eligible to vote in all matters), Recreational (owners/tenants who pay for recreational facility access, vote only on recreation issues), Associate (tenants with extended privileges, no vote), and Recreational Associate (adults residing with a member, no vote). Each lot has one vote; co-owners must agree on how to cast it. Owners more than 60 days delinquent on payments cannot vote.
- Board of Directors & elections: The Board has 7 members, each elected from a designated Voting District. Directors serve staggered 3-year terms, with a maximum of two consecutive terms. Elections are held annually on the third Friday of October. Nominees must be Class A members from the district they represent and cannot be more than 60 days delinquent on assessments.
- Meetings & quorum: Annual membership meetings are held the third Wednesday of May. Special meetings can be called by the President or by petition of 20% of voting members. A quorum for membership meetings is 25% of voting members present in person or by proxy. Board meetings require a majority of directors for a quorum.
- Assessments & financial obligations: The Board establishes and collects assessments, fees, and carrying charges. Owners more than 60 days delinquent lose voting rights and, if directors, are automatically removed from the Board. The association’s fiscal year starts January 1, and an independent CPA audit is done annually.
- Common areas & facilities: Common areas include shorelines, open spaces, community and recreational facilities, and infrastructure like roads, sidewalks, street lights, water and sewer lines. The Board manages their care, upkeep, and use, and may adopt rules (house rules) for their use.
- Management agent & administration: The Board must employ a management agent; the association cannot self-manage. The agent may be terminated at any time with 30 days' notice. All officers and employees handling funds must carry fidelity bonds paid by the association.
- Amendments & governing documents: By-Laws may be amended by a majority vote of members at a meeting or by referendum. Amendments can be proposed by the Board or by a petition signed by 30% of members. The Declaration takes precedence over these By-Laws in case of conflict.
