This is the Bylaws of The Farm at Buena Vista Owners Association, Inc., a standard single-family HOA in Monument, CO. These rules govern how the Association is run (meetings, board, officers) and apply to all homeowners/members in the community.
- What this document covers: This document lays out the internal governance of the HOA: membership, meetings, board of directors, officers, indemnification, and how the Association operates. It does not include typical homeowner rules like pet limits, parking, architectural standards, or use restrictions — those are in the Declaration.
- Membership & dues: Each owner of a unit is a member and must pay common and special assessments, secured by a lien. Annual assessments are set by the Declarant (developer) before turnover, then by the Board after. Special assessments can be levied for emergencies. The developer (Wayfarer Development, LLC) doesn't pay assessments on undeveloped lots until turnover.
- Voting rights: Each unit gets one vote, shared proportionally if co-owned. Owners delinquent on dues lose voting rights until paid in full. Before the 'Turnover Date,' only the developer can call meetings and members can't vote.
- Board of directors: Initial board is one director chosen by the developer. After turnover, the board has 5 directors elected by members for 2-year terms. At least one director must represent the developer as long as it owns property. Directors may be removed with or without cause by a 51% member vote.
- Meetings & quorum: Annual member meetings require a 20% quorum (in person or by proxy). Special meetings can be called by a majority of directors or by a written request from 1/3 of members. Board meetings need a majority quorum after turnover.
- Indemnification of directors & officers: The Association may indemnify directors and officers for legal expenses and liabilities if they acted in good faith and in the Association's best interest, with some exceptions (e.g., gross negligence, improper personal benefit). The Association is also required to get insurance for them.
