Edinburgh Community Association, Inc. is a standard single-family homeowners' association in Chesapeake, Virginia. These bylaws govern the corporation — rules for membership, the board of directors, meetings, and operations — but they don't contain the specific use restrictions (like pets, parking, or architectural standards) that you'd find in the full Declaration. Any resident (owner or occupant) must comply with these bylaws and the Declaration.
- Membership & voting: Every lot or parcel owner is a member. Each lot gets one Class A vote. The developer held Class B voting control until April 1, 2015, or until it owned less than 25% of the land, whichever came first. Voting rights can be suspended for unpaid assessments.
- Board of Directors & meetings: After developer control ended, the board has five directors elected by Class A members, serving staggered three-year terms. Annual meetings are in January. Special meetings can be called by the president or by a petition of 10% of Class A votes.
- Assessments & budget: The board adopts an annual budget and sets assessments — typically paid in two equal installments due January 1 and July 1. Failure to pay can lead to late fees, acceleration of remaining payments, and collection costs (including attorney's fees). The board must maintain reserves, including for insurance deductibles.
- Insurance: The association carries master property (100% replacement cost), liability (at least $1 million), fidelity, and workers' comp insurance. Each owner must carry their own liability policy of at least $100,000. Owners cannot get separate policies that conflict with or reduce the association's coverage.
- Mortgagee rights: Lenders holding first mortgages on lots can request notices of meetings, attend meetings, and examine books. Certain major actions (like changing assessment methods or selling common areas) require approval from two-thirds of first mortgagees or two-thirds of non-developer owners.
- Architectural review: There is an Architectural Review Board, but its specific rules are set in the Declaration — not in this document.
- Amendments: During developer control, the board could amend the bylaws alone. After that, amendments require a vote of two-thirds of Class A votes present at a meeting with at least 50% quorum.
