What Wintergreen Ridge Association's governing documents say
Wintergreen Ridge Association is a single-family home HOA in Lancaster, TX. These bylaws govern how the association is run—its board, meetings, voting, and officer duties—but they do not contain most of the everyday rules residents need to follow.
- Meetings & voting: Annual meetings are held each year on the same day and month. Special meetings can be called by the board or by members holding 25% of all Class A votes. At least 15 days' written notice is required. A quorum requires 45% of each class's votes present in person or by proxy.
- Board of directors: Directors serve staggered three-year terms, with roughly two elected each year. Directors serve without pay but may be reimbursed for actual expenses. The board can act without a meeting if all directors give written approval.
- Voting & elections: Each member may vote in person or by proxy. Proxies must be in writing, filed with the secretary, and automatically end when the member sells their lot. Voting is by secret written ballot, and cumulative voting is not allowed.
- Association powers & enforcement: The board may suspend voting rights and use of recreational facilities for any member who is more than 30 days late on assessments. After notice and hearing, these rights may also be suspended for up to 30 days for rule infractions.
- Assessments & liens: Each member must pay annual and special assessments as set by the board. Assessments are secured by a continuing lien on the lot. If unpaid within 30 days after the due date, they become delinquent and bear interest; the association may sue the owner personally or foreclose, adding costs and attorney's fees.
- Books & records: The association's books, records, and papers are open to inspection by members during reasonable business hours. The Declaration, Articles, and Bylaws must be available at the principal office, where copies may be purchased at reasonable cost.
- Amendments: These bylaws may be amended by a majority vote of a quorum of members present in person or by proxy at a regular or special meeting. In case of conflict, the Articles of Incorporation control over the bylaws, and the Declaration controls over both.
- What this document doesn't cover: These are the association's internal governance bylaws. They do not include the community's use restrictions, architectural standards, pet limits, parking rules, or leasing policies. Those rules would be in the Declaration of Covenants, Conditions and Restrictions (CC&Rs) or separate rules and regulations.
