What Y O Land Owners Association's governing documents say
Y.O. Land Owners Association is a non-profit corporation that governs the Y.O. Ranchlands in Junction, TX, a community of individually owned land parcels. These are the Amended and Restated By-Laws, which set the rules for how the association operates — board elections, meetings, committees, voting rights, and assessments. If you own land here, the full rulebook also includes a separate Declaration of Covenants, Conditions and Restrictions (CC&Rs) that defines property uses and restrictions, which is not included in this document.
- Membership & voting: Each owner of a fee simple lot is a member. Voting power is tied to acreage: one vote per acre owned. A quorum requires at least 50% of total votes. To overturn a previous action within 12 months, you need at least 10% more votes than the original action. Voting rights are suspended if assessments remain unpaid after the delinquency date.
- Board structure & elections: The Board of Directors includes a president, vice president, secretary, and treasurer, each elected by members at the annual spring meeting for a two-year term. The Board can remove any officer with or without cause and fill vacancies by appointment. Outgoing presidents serve an additional term on the Board for continuity.
- Meetings: Meetings follow Robert's Rules of Order. Absentee ballots for votes must be mailed at least 20 days before the meeting. Actions involving expenditures, variances, or special requests must be recorded separately as new business in the minutes.
- Committees: Standing committees include Architectural Control, Wildlife, Security, Hospitality, and Infrastructure. Committee chairs and up to 9 members are appointed by the president with Board approval. All committee communications to members must be pre-approved by the Board. Special purpose committees can be created and expire with the Board's term.
- Amendments: By-laws can be amended by a membership vote (per Article IV). A Board committee must first review proposed changes, and the Board needs a 2/3 majority affirmative vote to submit any amendment to the full membership.
- What this document doesn't cover: This document is only the By-Laws. It does not include property-use restrictions, architectural guidelines, assessment amounts, pet rules, leasing restrictions, or other rules that would be found in the Declaration of Covenants, Conditions and Restrictions (recorded in Kerr County) and any Fees, Fines and Special Assessments policies.
