Farmington Green North Homeowners Association, Inc. (now commonly known as Country Oaks) is a standard single-family HOA in Southfield, Michigan. These are the Association's Bylaws, which supplement the Declaration and govern how the HOA operates — meetings, board elections, assessments, and member voting rights. This document does not contain the full set of rules for residents (like pet limits, rental restrictions, or architectural standards); those are likely in the separate Declaration and Rules & Regulations.
- Voting & membership classes: Every lot owner is a member with one vote per lot. There are two classes: Class A (all owners except Declarant) and Class B (Declarant, who gets three votes per lot). Class B membership ends when Class A votes equal Class B votes, or by December 31, 1984.
- Board of Directors: Nine directors are elected by members to staggered three-year terms. Directors need not be members. The Board manages the Association and can adopt rules, suspend voting/amenity rights for unpaid assessments, and for rule violations (up to 60 days after notice and hearing).
- Assessments & liens: Each lot is assessed annual and special fees. Assessments unpaid 30 days past due accrue 7% annual interest, and the Association can foreclose its lien or sue the owner personally. Nonuse of common areas does not waive the obligation to pay.
- Meetings of members: Annual meetings are held the same day each year at 7:30 PM, with at least 15 days' written notice. Special meetings can be called by the president, Board, or upon written request of 1/4 of Class A votes. Quorum is 1/10 of each class's votes.
- Amendments & conflict resolution: Bylaws can be amended by a 75% majority of a quorum of members. In case of conflict, the Declaration controls over these Bylaws, and the Articles of Incorporation control over both.
- How directors are elected: A Nominating Committee (appointed by the Board) nominates candidates, and members may also nominate from the floor. Election is by secret ballot, no cumulative voting.
- Quorum & voting limitations: For meetings, quorum is 1/10 of each class's votes. The Board can suspend a member's voting rights for up to 30 days per violation after notice and hearing. Certain amendments and reductions in annual assessments (below $50 per lot) require Declarant's consent until subdivision development is complete.
- What this document doesn't cover: These Bylaws do not contain the detailed use restrictions for lots, such as rental rules, pet limits, parking, architectural standards, or maintenance obligations. Those are in the Declaration and any separately adopted Rules & Regulations.
