This is the Code of By-Laws for Commons Homeowners Association, Inc., a standard single-family homeowners association in Greenwood, IN. It governs the internal operations of the HOA — membership, voting, board elections, assessments, and maintenance of common areas. Homeowners automatically become members and are subject to assessments and the board's authority.
- Membership & voting: Each lot owner is a member with one vote per lot. Multiple owners of a lot share one vote. The developer (Declarant) has Class B membership with three votes per lot until certain conditions occur (e.g., Class A votes equal or exceed Class B, or 6 years after declaration recording).
- Board of Directors: The board manages the association. Initially appointed by Declarant; after the Applicable Date, directors are elected by owners. Board size is 5–7 directors, with specific seats for subdivisions. Directors must be owners. Board can hire a managing agent with owner approval (67% vote and 51% mortgagee vote after Applicable Date).
- Assessments (regular & special): Regular assessments are set annually based on an owner-approved budget, paid quarterly (or semi-annually/annually). Special assessments require a 2/3 vote of each membership class (excluding Declarant's proxy on that vote). Assessments are a lien on the lot and personally enforceable.
- Maintenance responsibilities: The association maintains common areas, landscape islands, and easements as detailed in the Declaration. Each owner maintains their own lot and improvements. The association may enter a lot to perform maintenance if the owner fails to do so, charging the cost as an assessment.
- Rules & regulations: The board may adopt and amend rules regarding use of the tract and improvements. Copies must be delivered to owners.
- Amendment process: By-Laws can be amended in the same manner as the Declaration (referenced in the Declaration). No amendment is allowed before the Applicable Date without Declarant's consent.
- Mortgagee rights: Mortgagees who notify the association receive notices of defaults, unpaid assessments, condemnation, and insurance changes. The association must provide assessment statements to mortgagees and purchasers.
- What this document doesn't cover: This is only the By-Laws; the full Declaration of Covenants and Restrictions contains additional rules on property use, pet restrictions, leasing, architectural control, and specific common area definitions. Those rules are incorporated by reference but not detailed here.
