Grand Cay of St. Augustine Homeowners Association is a standard single-family HOA in Florida. These Bylaws govern how the homeowners association operates—board elections, meetings, finances, and member rights. The rules bind all homeowners (lot owners), not renters directly.
- Board of Directors & elections: After transition from developer control, directors are elected at the annual meeting in November by a majority of votes cast. Directors may be removed with or without cause by a majority of total voting interests. Owners can attend and speak at board meetings.
- Member meetings & voting: Annual meeting is in November. Special meetings can be called by the board or by 10% of voting interests. A quorum is 30% of votes. Decisions are by majority of those present. Owners may vote in person or by proxy (proxy expires after 90 days).
- Official records & inspections: Records (including bylaws, contracts, financials, minutes) must be kept in Florida and are open for inspection by any member. Copies cost up to $0.50 per page; fees may apply. The association must provide a current copy of governing documents at actual cost.
- Budget & financial reporting: An annual budget must be prepared, with different levels of financial statements (compiled, reviewed, or audited) based on total annual revenues. Members can petition to raise the reporting level. An annual financial report is due within 60 days after year-end.
- Contract approval & competitive bids: Contracts exceeding 10% of the annual budget (including reserves) require competitive bids, though the board need not accept the lowest bid. Contracts for employees, attorneys, accountants, and certain professionals are exempt.
- Disclosure to buyers: Before a sale, sellers must provide a disclosure summary about mandatory membership, assessments, covenants, and the right to void the contract if disclosure is late. The notice must be in the contract in conspicuous type.
- Amendments: Bylaws may be amended by two-thirds of the board vote, with notice to members. The developer has sole amendment power before transition. If conflict with the Declaration or Articles, those documents control. FHA/VA approval is required while Class B membership exists.
