What Ocean Hammock Property Owners Association's governing documents say
Ocean Hammock is a large, master-planned HOA community in Palm Coast, FL, comprised of multiple villages (single-family home sites and condominiums) governed by a master homeowners association. This document is the association's articles of incorporation — it establishes the corporate structure, membership classes, and board of directors, but does not contain the community's main rules and restrictions. The actual use restrictions (e.g., rentals, pets, architectural standards) are in a separate document called the Master Declaration.
- Community type & structure: The community has 803 private home sites, 275 condominiums, and 5 equivalent units of commercial space, organized into 14 villages and the Cinnamon Beach area. There is one master HOA (OHPOA) that all owners belong to; some villages may have separate village associations.
- Who is a member & voting rights: Every owner of a fee interest in a unit is a member. There are two classes: Class A (homeowners and certain developer entities) and Class B (the developer, Declarant). Each owner gets one vote per equivalent unit. Class B members initially hold 3 votes per unit and control the board until a conversion event occurs.
- Developer control & veto powers: Declarant (the developer) has a veto over association actions affecting the Ocean Hammock property. Two other developer entities (Northshore and Northshore Investment) have similar vetoes over their respective properties. These vetoes expire when the developer no longer owns land or, for Declarant, when Class A votes reach 95% of total membership or by April 15, 2017.
- Board composition: The board has 5 to 11 members, always an odd number. While a Class B membership exists, Declarant appoints all directors, with specific seats designated for Northshore and Northshore Investment upon request. After Class B converts, directors are elected by members for staggered 3-year terms.
- Association's responsibilities: The association maintains common property and village common property, including 7.5 miles of roads, landscape maintenance in certain villages, and the main entrance road (Hammock Dunes Parkway). It does not maintain interior units or privately owned lots outside designated villages.
- What this document doesn't cover: This document does NOT contain the community's use restrictions (e.g., leasing rules, pet limits, architectural approvals, parking, or age restrictions). Those rules are in the separate Master Declaration. It also omits specific fee amounts, insurance deductibles, and amenities policies.
