What Mason's Island Property Owners Association, Inc's governing documents say
Mason's Island Property Owners Association (MIPOA) is a voluntary membership organization for property owners within the Mason's Island Fire District in Mystic, CT. It is NOT a mandatory homeowners' association tied to property ownership — you choose to join and pay dues. The bylaws govern how the association runs, not what you can do with your property.
- Membership & voting: Only owners of real property within the Mason's Island Fire District are eligible. Each property gets one membership, regardless of how many people own it or how many parcels they own. One membership = one vote. No proxies allowed; voting is in person or by absentee ballot.
- Dues & budget: The Board sets annual dues (recently $45–$50). Dues must be paid to vote. The fiscal year runs July 1–June 30. Members adopt the budget at the Annual Meeting, which is held on the Saturday of Memorial Day weekend.
- Board of Directors & Officers: A minimum of 5, maximum of 7 directors serve staggered 3-year terms. Officers (President, VP, Secretary, Treasurer) are elected by members from among the directors for 1-year terms. A quorum for Board meetings is 3 directors. No real property may be bought/sold/transferred without a majority member vote.
- Meetings & notice: Annual Meeting is on Memorial Day weekend Saturday. Special meetings can be called by the President, any 3 directors, or a petition of 20% of members. Notice must be given 10–60 days in advance. A quorum for member meetings is 25 members.
- Amendment & dissolution: Bylaws may be amended at a member meeting by a 2/3 vote of those present, with advance notice of the full text and a quorum of 25. Dissolution requires Board and member approval per Connecticut law.
- Committees & other governance: A nominating committee of at least 3 (no more than 1 current Board member) is appointed annually. A Financial Review Committee performs biennial account reconciliation. The Board may appoint other committees. Contracts over $3,000 or 10% of the budget (whichever is greater) need member approval. No borrowing without member approval.
- What this document doesn't cover: These bylaws do not contain any rules about property appearance, architectural controls, pets, parking, noise, leasing, or other owner conduct restrictions. Such rules, if any, would be in a separate declaration or handbook. MIPOA owns the private roads and carries liability insurance for them, but the document here does not impose specific road-use or parking rules.
