What Longsview II Homeowners Association, Inc.'s governing documents say
This is the Bylaws of Longsview II Homeowners Association, Inc., a standard single-family HOA in Fort Collins, Colorado. The Bylaws set out the internal governance rules — meetings, elections, board powers, officer duties — and apply to all individual homeowners (Members) who own a unit in the community. They do NOT contain the actual living restrictions (like pet limits or lease terms) that are in the separate Declaration.
- Membership & voting: Anyone who buys a unit automatically becomes a Member and must follow the Declaration, Articles, and Bylaws. A Member cannot resign, but can be expelled or suspended for violations — yet remains liable for all assessments. The Association gets a vote per unit; if a unit has multiple owners, only one may cast that unit's vote (by agreement or proxy). Cumulative voting is not permitted.
- Meeting quorum & member action: For any member meeting, a quorum is 20% of all votes (present in person or by proxy). To pass most business, an affirmative vote of a majority of those present (with a quorum) is required. Special meetings can be called by the president, a majority of the board, or by a written demand signed by members holding at least 20% of all votes.
- Proxy voting: Unit owners may vote by proxy. A proxy is void if undated, and it expires after 11 months unless it states otherwise. An owner can revoke a proxy by attending and voting in person, or by delivering a written revocation or later proxy to the secretary.
- Board of Directors: composition & terms: The board manages the association. It must have at least three directors, and the number can be changed by a majority vote of members at an annual meeting. At the first election, three directors are elected for one-year terms and two for two-year terms; thereafter each director serves a two-year term. A director continues to serve until a successor is qualified.
- Removal of directors & officers: An owner may remove a board member (with or without cause) by a 67% vote of the proportionate interests present and voting at a meeting with a quorum. Board members can also be removed by the voting members if the votes cast to remove would be enough to elect that director. An officer may be removed by the board with or without cause.
- Board meetings & action without a meeting: Regular board meetings are held at times set by a majority of directors; special meetings require three days' notice. A majority of directors constitutes a quorum. Directors can take action without a meeting if all directors sign a written approval. A director may grant a signed written proxy to another director to vote on a specific proposal.
- Assessments & delinquency: Each Member must pay annual and special assessments as provided in the Declaration. Unpaid assessments are delinquent and secured by a lien on the property. The association may impose an administrative fee (not to exceed an amount set in the rules) for late payment.
- Books & records: The association must make current copies of the Declaration, Bylaws, rules, and financial records available for inspection by owners and mortgagees during normal business hours.
