What Candlelight Estates Homeowners Association's governing documents say
Candlelight Estates is a single-family homeowners association (HOA) in Erie, Colorado. These Bylaws describe how the HOA is run — the board's structure, elections, meetings, and finances — and apply to the lot owners (homeowners) who are members of the association.
- Board structure & elections: The Executive Board has 3–5 directors, at least a majority of whom must be lot owners after Declarant control ends. During Declarant control, the Declarant appoints one director; later, lot owners elect directors. Terms are staggered — at least one-third of elected directors' terms expire each year.
- Lot owner meetings & voting: Annual meetings are held in Boulder County. Lot owners can call special meetings if they hold 20% of the votes. A quorum is at least 30% of members present in person or by proxy. Most decisions need a majority vote of those present. Proxies expire after one year unless they specify a shorter term.
- Board powers & duties: The board can adopt budgets, collect assessments, hire a manager, levy fines (after notice and hearing), impose late fees, and sue for rule violations. It may delegate only limited powers to a manager (hiring/firing, litigation, open-space regulation). Any committee action must be published and can be appealed by any lot owner within 45 days.
- Removal & vacancies: Lot owners can remove any director (except Declarant-appointed ones) by a two-thirds vote of those present at a quorate meeting. Vacancies in elected director seats are filled by a majority of remaining elected directors; Declarant-appointed vacancies are filled by the Declarant.
- Officers: The board elects a president, vice president, secretary, and treasurer annually. The president and vice president must be directors; other officers need not be. Any two offices may be held by the same person except president and secretary.
- Indemnification & nonprofit status: The HOA will indemnify directors, officers, employees, and agents to the extent allowed by law, except for misconduct before incorporation. The association is nonprofit — no dividends or profits may be distributed to members or directors.
- Amendments & document conflicts: Bylaws may be amended by a majority of a quorum of directors, except changes to Article 2.1 (board composition), Article 5 (indemnification), or Article 7 itself require all directors' approval. If the Declaration conflicts with these Bylaws, the Declaration controls.
- Fannie Mae compliance: To keep Fannie Mae acceptance, the HOA must (a) not hold first mortgagees liable for six months or less of unpaid assessments that accrued before foreclosure, (b) obtain hazard insurance from carriers with specified financial ratings, and (c) name Fannie Mae or its servicers as mortgagee on policies.
