- Board of Directors: The Board has five members, elected annually by unit owners. Directors need not be unit owners until after Class B membership converts; thereafter all must be unit owners. The Board has broad powers, including adopting rules, levying assessments, and managing common areas.
- Meetings & quorum: Annual meetings of owners are required; special meetings can be called by the president, a majority of the Board, or upon petition by owners holding 25% of voting power (or 15% excluding Declarant). A quorum is 50% of the voting power present in person or by proxy.
- Cumulative voting & removal: Owners may cumulate votes for director elections. Any director may be removed by a majority vote of owners, following cumulative voting procedures. Directors elected solely by non-Declarant votes can be removed by a majority of those owners.
- Financial & record access: The Board must provide annual budgets and financial statements. Members have the right to inspect membership register, books of account, and meeting minutes at reasonable times for purposes related to their membership interest.
- Amendments: These Bylaws and the Articles of Incorporation may be amended by a vote or written consent of 51% of the total voting power of each class of membership at a meeting.
